1. Scope of Application

These General Terms and Conditions (GTC) govern all contracts and services offered by Johannes Eidens (hereinafter referred to as "WebWunder") to its clients, including web design, maintenance, and design services.
1.2 Business Clients
WebWunder's services are exclusively intended for business clients as defined under §14 BGB.
1.3 Agreement Basis
These AGB, together with the specific terms of each service contract, form the complete agreement between WebWunder and the customer.
1.4 Current Version
The version of the AGB in effect at the time of service booking applies.
1.5 Exclusion of Customer Terms
Deviating terms from the customer are not recognized unless explicitly agreed upon in writing.
2. Contract Formation and Payment
2.1 Online Contract Formation
By selecting a package on our website and completing the payment via Stripe, you enter into a legally binding contract with WebWunder.
2.2 Payment Processing
All payments are securely processed via Stripe. Upon successful payment, the customer will receive an invoice and confirmation of the contract terms.
2.3 Auto-Debit Subscription
Monthly payments are automatically debited from the customer's account through Stripe.
2.4 Invoice Due Date
Invoices are due immediately upon receipt unless otherwise specified.
3. Service Provision
3.1 Delivery Time
WebWunder will provide the agreed services within the time specified in the contract.
3.2 Client Cooperation
The customer is required to cooperate in the provision of services by supplying necessary information and materials in a timely manner.
3.3 Delays
Delays caused by the customer’s failure to cooperate will extend delivery timelines accordingly.
3.4 Service Changes
Any requested changes to the scope of services must be agreed upon in writing and may result in additional charges or timeline adjustments.
4. Warranty and Liability
4.1 Warranty
WebWunder warrants that services will be provided in accordance with industry standards and within the scope agreed upon in the contract.
4.2 Limitation of Liability
WebWunder’s liability is limited to cases of intent or gross negligence, except for damages to life, body, or health.
4.3 Third-Party Liability
WebWunder is not liable for third-party services or tools, such as hosting providers or external applications, used in conjunction with WebWunder’s services.
5. Termination and Cancellation
5.1 Termination by Client
The customer may terminate the contract in accordance with the terms outlined in the individual service contract.
5.2 Termination by WebWunder
WebWunder may terminate the contract if the customer violates the terms of service or fails to make timely payments.
5.3 Cancellation Notice
Cancellation must be provided in writing at least 30 days before the end of the contract term unless otherwise specified.
6. Data Protection
6.1 Customer Data
WebWunder adheres to GDPR regulations regarding the protection of personal data. Customer data will only be used for the purpose of fulfilling contractual obligations.
6.2 Third-Party Services
Any third-party services that require customer data will comply with WebWunder’s data protection policy and applicable laws.
7. Final Provisions
7.1 Applicable Law
The laws of the Federal Republic of Germany apply.
7.2 Place of Jurisdiction
The place of jurisdiction for all disputes arising from this contract is the headquarters of WebWunder, unless another place of jurisdiction is mandatory by law.
7.3 Severability Clause
Should individual provisions of this agreement be or become invalid, the validity of the remaining provisions shall remain unaffected.
8. Liability and Responsibility of the Customer
8.1 Limited Liability
WebWunder is only liable for damages caused by intentional or grossly negligent conduct. Liability for slight negligence is excluded.
8.2 Data Responsibility
The customer is solely responsible for the legality, accuracy, and integrity of the materials provided to WebWunder.
9. Design Refresh
9.1 Free Design Refresh
Every 36 months, WebWunder offers a free design refresh to ensure that the customer’s website aligns with the latest trends and standards. This service is available at no additional cost as long as the customer has an active subscription or service package.
10. Final Provisions
10.1 Applicable Law
These terms are subject to the laws of the Federal Republic of Germany. The exclusive jurisdiction is Cologne.
10.2 Severability Clause
If any provision of these terms is invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable.
